Zwagil clarified that her involvement with Zionix was strictly advisory, focused on product strategy and structural improvements. At no point did she hold ownership in the company, have access to company funds, or participate in any financial operations.
According to Zwagil, she was initially engaged as a consultant to help prepare a new U.S.-based company, Zionix, for its planned December 2025 launch in the United States. As part of this process, she retained Troy Dooly through his advisory firm, Deep South Strategic Solutions Inc., to conduct a comprehensive review of the previous offshore entity, Zater Capital.
Based on Dooly’s recommendations, Zwagil accepted an interim CEO role for the newly formed U.S. entity and retained the law firm Thompson Burton to establish the required legal, regulatory, and compliance frameworks to ensure lawful operation within the United States.
Zwagil stated that she was assured the interim CEO position would include full operational authority and unrestricted access for herself and her legal and compliance teams. However, those assurances were not honored. When it became clear that the equity owners’ intentions diverged from the agreed-upon plan for a compliant and transparent U.S. launch, she chose to resign from the role.
Throughout this period, Zwagil invested her own resources in developing a compliant, technology-driven, membership-based model designed to deliver sustainable value in alignment with U.S. federal and state regulations.
