Zinzino AB (PUBL) has signed a letter of intent (LOI) with the North American direct sales company Truvy, marking a significant milestone in global expansion. The agreement covers the acquisition of Truvy’s distributor database, customer register, inventory, and intellectual property rights.
This move strengthens Zinzino Truvy partnership goals, aimed at expanding distribution in North America, Latin America, and South Korea.
In addition to the assets, Zinzino will acquire 100% of Truvy’s South Korean subsidiary. This strategic step accelerates market penetration and enhances distribution capacity in Asia. The acquisition aligns with Zinzino’s vision of improving personal health and well-being through innovative biotechnology and direct sales.
Truvy is a respected global direct sales company in the health and wellness sector. Its portfolio focuses on health improvement and weight management products. Operating across North America, Latin America, and South Korea, Truvy generates an annual turnover of approximately USD 12 million.
The collaboration with Zinzino is expected to create powerful synergies by combining networks and leveraging Zinzino’s test-based nutrition concept.
According to the LOI, Zinzino will pay USD 4 million upon completion, fully settled in newly issued shares. Additionally, an earn-out model could raise the total purchase price to USD 16 million, also paid in Zinzino shares, depending on Truvy’s future sales growth.
The final acquisition agreement is expected in the third quarter of 2025, following due diligence.
